CONFIDENTIALITY POLICY
At Numerons, we prioritize the utmost confidentiality of client information and adhere to stringent Information Security Management practices. Our Confidentiality Agreement encompasses the following key features, which are applicable to all our clients:
Non-Disclosure: We strictly refrain from disclosing any information related to our clients to any third parties.
Marketing Usage: Without the explicit written consent of our clients, we do not utilize their identity or brand for marketing purposes.
Client Privacy: We never share our client’s name or any other information with prospective clients for marketing purposes.
Protection of Client Data: We neither sell nor disclose our client list or client information to any third parties.
We are committed to upholding the highest standards of confidentiality and safeguarding our clients’ trust and privacy.
CONFIDENTIALITY AGREEMENT
This Confidentiality Agreement sets forth the understanding and agreement between Numerons and its clients regarding the disclosure and protection of confidential information. In order to safeguard the confidentiality of such information, including any proprietary ideas, inventions, trade secrets, and business-related details, the following terms are agreed upon:
Definition of Confidential Information: The disclosed Confidential Information encompasses descriptions of inventions, technical and business information, patentable ideas, trade secrets, drawings, illustrations, patent searches, existing or planned products and services, research and development, production, financial data, customers, marketing strategies, and current or future business plans, regardless of the designation of such information as “Confidential” at the time of disclosure.
Limited Disclosure: Numerons shall restrict the disclosure of Confidential Information to its directors, officers, partners, members, employees, and authorized independent contractors (“affiliates”) who have a legitimate need to access such information. Numerons and its affiliates shall not disclose the confidential information unless required by law.
Exceptions to Confidentiality: This Agreement does not impose obligations on Numerons with respect to Confidential Information that: (a) was already in possession of Numerons prior to its receipt from the client; (b) becomes publicly known through no fault of Numerons; (c) is lawfully obtained by Numerons from a third party not bound by confidentiality obligations; (d) is disclosed without any duty of confidentiality by Numerons to a third party with authorization; (e) is publicly available or becomes part of the public domain; or (f) is independently developed by Numerons without use of the Confidential Information.
Entire Agreement: This Agreement constitutes the entire understanding between Numerons and its clients regarding the disclosure of Confidential Information. Any modifications or additions to this Agreement must be made in writing and signed by both parties.
Severability: If any provision of this Agreement is deemed unenforceable, the remaining provisions shall continue to be fully enforceable, and the unenforceable provision(s) shall be modified to the extent necessary to uphold the validity and enforceability of the Agreement as a whole.
Liability and Unauthorized Activities: The client assumes full responsibility for any consequences, losses, or damages incurred by Numerons directly or indirectly as a result of unauthorized activities. Such activities may lead to criminal or civil liability.
By accepting this Confidentiality Agreement, you acknowledge and agree to comply with its terms and uphold the confidentiality of the disclosed information.
